Acceptance of Terms

By accessing and using the services provided by PulseMetric Ltd ("Company", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and PulseMetric Ltd, a company registered in Ireland under company number CRO397154. If you do not agree to these Terms, you must not use our services.

PulseMetric Ltd is a corporate banking services provider registered in Ireland. Our registered office is located at Capel Street 197, Limerick, V52 3790, Ireland. We are authorised and regulated to provide corporate banking services in accordance with Irish financial regulations and European Union banking directives.

Eligibility and Account Opening

Our services are available to registered businesses, corporations, and other legal entities operating within Ireland and the European Union. To access our services, you must meet our eligibility criteria, complete our account opening procedures, and provide all required documentation. We reserve the right to refuse service or close accounts at our discretion, subject to applicable laws and regulations.

User Obligations

As a client of PulseMetric, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Maintain the confidentiality of your account credentials
  • Use our services only for lawful business purposes
  • Comply with all applicable laws and regulations
  • Notify us immediately of any unauthorised account access
  • Pay all fees and charges as outlined in our fee schedule

Fees and Charges

Our fees and charges are outlined in our current fee schedule, which forms part of these Terms. Fees may be charged for account maintenance, transactions, and additional services. We reserve the right to modify our fees with appropriate notice as required by applicable regulations. All fees are exclusive of applicable taxes unless otherwise stated.

Intellectual Property

All content, software, systems, and materials provided through our services, including but not limited to text, graphics, logos, software, and digital banking platforms, are the property of PulseMetric or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without express written permission.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal and business data are governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to our data processing practices as described in our Privacy Policy and in accordance with applicable data protection laws.

Limitation of Liability

To the maximum extent permitted by law, PulseMetric's liability for any damages arising from or relating to these Terms or our services shall be limited to the amount of fees paid by you to us in the twelve months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, whether based on contract, tort, or any other legal theory.

Indemnification

You agree to indemnify, defend, and hold harmless PulseMetric, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to your use of our services, violation of these Terms, or infringement of any rights of third parties.

Regulatory Compliance

Our services are subject to various regulatory requirements, including anti-money laundering laws, data protection regulations, and banking supervision rules. We may be required to disclose information about your accounts and transactions to regulatory authorities. You acknowledge and consent to such disclosures as required by law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland. The parties agree that any legal proceedings shall be conducted in the English language.

Dispute Resolution

We are committed to resolving any disputes amicably. If you have a complaint about our services, please contact us first through our customer service channels. If we cannot resolve the matter internally, you may refer the dispute to the Financial Services and Pensions Ombudsman of Ireland or other applicable dispute resolution bodies.

Termination

Either party may terminate the banking relationship in accordance with the terms of specific service agreements. We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms, engage in fraudulent activities, or if required by law or regulation. Upon termination, you remain liable for all outstanding obligations and fees.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you in advance through appropriate channels, including email or notices on our website. Your continued use of our services after such modifications constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and PulseMetric regarding the use of our services and supersede all prior or contemporaneous communications and proposals.
